PLEASE READ THIS AGREEMENT CAREFULLY.

This Affiliate Bounty Agreement ("Agreement") is made between Streaming Ultra LLC, doing business as WatchSports.com ("the Company"), and the undersigned person ("Affiliate" or "You"). The Agreement applies to your participation in the Company's Affiliate Bounty Program. These terms are so important that we cannot permit You to participate in this program unless you agree to them.

This Agreement is valid as of the date You indicate your acceptance thereof by your acknowledgment of this Agreement and/or your use or participation in the Company's Affiliate Bounty Program ("Effective Date").

This Agreement fully incorporates the Company's Terms of Service as set forth at https://watchsports.com/terms-of-service and the Company's Privacy Policy as set forth at https://watchsports.com/privacy-policy and the Company's Community Guidelines. In the event of any conflict between this Agreement and the Company's Terms of Service and/or Privacy Policy and/or Community Guidelines, this Agreement shall govern.

Streaming Ultra LLC owns and operates the website WatchSports.com, and may in the future include apps (Connected TV, mobile, or other apps) for its current website. WatchSports.com may also develop future products, software, data feeds, and services related to the WatchSports.com website (collectively the "Service").

The purpose of this Agreement is to facilitate and assist the efforts of Organizations to increase their customers, sales, and affiliated revenue for their Paid Content through the offer and payment of an Affiliate Bounty and purchase discounts and coupons to encourage other users and affiliates to promote their Paid Content and receive compensation for new customers that they refer. As a result of such referrals, an Affiliate Bounty will be paid to You as the referring affiliate.

For purposes of this Agreement, "Paid Content" means any content offered for sale by an Organization on the Service, including but not limited to subscriptions (monthly or yearly), one-time purchases, rentals, and pay-per-view access to videos, playlists, channels, or other recordings hosted on the Service.

1. How the Affiliate Bounty Program Works

The Affiliate Bounty Program allows Organizations to offer a monetary incentive to You and other Affiliates to promote an Organization's Paid Content. A registered user of WatchSports.com who decides to promote Paid Content is an Affiliate. Organizations decide the terms to offer to Affiliates to promote their Paid Content, together with coupon incentives that Affiliates can offer to potential new customers ("Offer Terms"). Organizations can offer multiple different Offer Terms simultaneously from which Affiliates may choose. When an Affiliate chooses an Offer Term under which the Affiliate desires to promote an Organization's Paid Content, a unique code or referral link will be provided to the Affiliate to use to promote the Paid Content through the Affiliate's other media channels, platforms, and apps, including social media. When a new customer purchases Paid Content using the Affiliate's unique code or referral link, the Affiliate will receive credit for that customer's purchase. When the customer's purchase meets the applicable earning criteria set forth in the Offer Terms (such as completing a purchase, maintaining an active subscription for at least one month, or completing a rental period), then the Affiliate will be compensated and receive the Affiliate Bounty, which will be paid out by the Company from the Organization's share of their paid content revenue, based upon the Offer Terms that the Organization set and that the Affiliate chose. Specific terms of the Affiliate Bounty Program are set out below.

2. General Terms of this Agreement and the Affiliate Bounty Program

A. You as a user of WatchSports.com can become an Affiliate by signing up to promote an Organization's Paid Content on the Organization's page on the Service.
B. To participate in the Affiliate Bounty Program, You must accept this Agreement and an Organization's Offer Terms. Organizations set the Offer Terms, subject only to certain parameters. Organizations are solely responsible for the Offer Terms they set.
1. Organizations may set an Affiliate Bounty as a defined amount or as a percentage of their share of the new customer's purchase revenue.
2. Organizations may offer payouts for an Affiliate Bounty using one of three options: (1) one-time payment; (2) monthly payments for a limited time period they set; or (3) for the entire lifetime that a subscription remains continuously active under the sign-up code (applicable only to subscription-based Paid Content).
3. Offer Terms may also include a discount for a customer purchasing using an Affiliate's unique code or referral link. Organizations choose the terms of the discount offered for their Paid Content.
4. The combination of the Affiliate Bounty amount, payout period, and purchase discount becomes a unique Offer Term that Organizations may post and make available on their Organization page on the Service.
5. Offer Terms and their associated codes may have an expiration date as set by Organizations.
6. When You select an Offer Term and agree to the terms of this Agreement, You become an Affiliate and receive a unique code or referral link incorporating the selected Offer Terms and that will be used in Your promotional efforts. The unique code or referral link will be used to track new customers who purchase Paid Content from the Organization as a result of Your promotional efforts.
7. Organizations may offer more than one set of Offer Terms at a time to give Affiliates options, and Affiliates may select and promote more than one set of Offer Terms at a time, each with a unique code or referral link for the Affiliate's use in promotional efforts.
C. Organizations may cancel a set of Offer Terms at any time, but Affiliates will be entitled to any continuing Affiliate Bounty owed thereunder. Organizations may remove a set of Offer Terms from offering to new Affiliates, but keep existing unique codes and referral links for prior Affiliates active.
D. Organizations may increase the Affiliate Bounty under a set of Offer Terms at any time, but may not decrease that amount.
E. Organizations may create new Offer Terms at any time and add them to their offerings on their Organization page. Affiliates may select to participate in new Offer Terms offered by Organizations at any time and receive a new unique code or referral link for such Offer Terms.

3. Affiliates' Promotional Efforts

A. To receive credit for and be eligible for the Affiliate Bounty, potential customers must purchase Paid Content using your unique code or referral link corresponding to particular Offer Terms. Accordingly, You should use the unique code or referral link provided when you accepted Offer Terms in your promotional efforts.
B. As an Affiliate, You may discontinue your promotion of any set of Offer Terms at any time. By accepting any Offer Terms and becoming an Affiliate, You have no obligation to continue promotional efforts or engage in any promotional efforts at all.
C. Affiliates may engage in promotional efforts where You see fit on your other platforms, sites, apps, or forums as permitted by and in accordance with the terms of service and requirements of such platform, site, app, or forum. All promotional efforts must also comply with all Federal, state, or local laws or regulations, including, but not limited to, Federal Trade Commission requirements as to affiliate marketing and all copyright and trademark laws. Affiliates may not use any trademarks or copyrighted material in their promotional efforts or materials without prior written permission from the trademark or copyright owner.
D. All Affiliate promotional efforts must disclose your affiliate marketing relationship with the Organization by containing the following statement or one substantially similar in a conspicuous place: "As an affiliate of [Organization Name] on WatchSports.com, I earn from qualifying purchases." Other than this disclosure, You shall not make any other public communication regarding this Agreement or your participation in the Affiliate Bounty Program without the Company's written permission. You shall not misrepresent or embellish your relationship with the Company or the Organization.
E. If your promotional efforts include paid ads or promoted social media posts, You are solely responsible for any associated costs or expenses. No costs or expenses will be reimbursed by the Company or by any Organization. The only payment for which You are eligible is the Affiliate Bounty pursuant to the applicable Offer Terms. Any paid ads or promotions You use may not contain or use the following keywords or adwords for bidding: watchsports.com, WatchSports, or Streaming Ultra.

4. Payment Terms

A. An Affiliate Bounty is considered earned when a new customer purchases Paid Content using the Affiliate's unique code or referral link and the applicable earning criteria are met. For subscription-based Paid Content, the subscription must remain active and paid for at least one month. For one-time purchases, rentals, and pay-per-view access, the Affiliate Bounty is considered earned upon completion of the purchase transaction and expiration of any applicable refund period.
B. Payment of Affiliate Bounty amounts will be paid out to Affiliates on a monthly basis beginning at least forty-five (45) days after the first qualifying purchase using the unique code or referral link.
C. All Affiliate Bounty payments will be made by the Company through the financial information and accounts You provided to Stripe Inc. when signing up for a user account. To receive payment, You agree to provide the Company any and all documentation necessary for it to comply with any and all jurisdictions' legal reporting requirements.

5. Termination

A. The Company may terminate the Affiliate Bounty Program at any time.
B. You may terminate your participation in the Affiliate Bounty Program at any time.
C. You may be terminated from promoting Paid Content by an Organization at any time and for any reason. Upon termination, You may still be entitled to any ongoing Affiliate Bounty and any previously earned but unpaid Affiliate Bounty, unless termination is for reason of Your violation of or failure to abide by the terms of this Agreement or any other terms or conditions of the Affiliate Bounty Program, the Terms of Service, Privacy Policy, Community Guidelines, or Federal, state, or local laws or regulations, including, but not limited to, FTC regulations and requirements related to promoted or affiliate marketing, or the terms of service of any other site, forum, app, or platform where You engage in promotional activities, in which case Your right to continued Affiliate Bounty shall terminate upon the date of termination.
D. The Company may terminate You from promoting Paid Content at any time for Your violation of or failure to abide by the terms of this Agreement or any other terms or conditions of the Affiliate Bounty Program, the Terms of Service, Privacy Policy, Community Guidelines, or Federal, state, or local laws or regulations, including, but not limited to, FTC regulations and requirements related to promoted or affiliate marketing, or the terms of service of any other site, forum, app, or platform where You engage in promotional activities. In the case of such termination, Your right to continued Affiliate Bounty shall terminate upon the date of termination.

6. Independent Contractor Status

This Agreement is not an offer of Employment nor is the Organization or Affiliate an employee of the Company. Organizations and Affiliates are Independent Contractors. The relationship with the Company does not constitute a partnership, joint venture, or agency. Organizations and Affiliates are not entitled to any reimbursement of expenses for their efforts; nor does an Organization or Affiliate represent the Company. Neither party shall have the authority to make any statements, representations, or commitments of any kind, or to take any action that shall be binding on the other party without the prior consent of the other party.

7. Non-Exclusivity

This Agreement does not create an exclusive agreement between You and the Company. Both You and the Company will have the right to recommend similar products and services of third parties and to work with other parties in connection with the design, sale, installation, implementation, and use of similar services and products of third parties.

Similarly, participation in the Affiliate Bounty Program does not create an exclusive agreement between You, any Organization, and/or the Company, as any Organization and the Company will have the right to recommend similar products and services of third parties and to work with other parties in connection with the design, sale, installation, implementation, promotion, and use of similar services and products of third parties.

8. Amendment

The Company may amend, update, or change any part of this Agreement and/or the Affiliate Bounty Program at any time and in its sole discretion, and You agree to be bound by such modification, revision, update, change, or replacement. If you don't agree to any modification, revision, update, change, or replacement, you can choose to terminate as described herein.

9. Limitation of Liability

IN NO EVENT SHALL WATCHSPORTS.COM AND ITS PARENT COMPANY STREAMING ULTRA, LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES ("WATCHSPORTS.COM PARTIES"), BE LIABLE TO ORGANIZATIONS OR AFFILIATES OR THEIR AGENTS, REPRESENTATIVES, AFFILIATES, SUCCESSORS, HEIRS, OR ASSIGNS ("ORGANIZATION AND AFFILIATE PARTIES") FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM ATTEMPTS TO ENGAGE WITH OR ACTUAL ENGAGEMENT WITH OTHERS REGARDING THE COMPANY'S SERVICE, (II) UNAUTHORIZED ACCESS TO OR USE OF THE COMPANY'S SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREON, (III) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS. ADDITIONALLY, ORGANIZATION AND AFFILIATE PARTIES AGREE THAT WATCHSPORTS.COM PARTIES SHALL NOT BE LIABLE TO ORGANIZATION AND AFFILIATE PARTIES FOR ANY DAMAGE OF ANY KIND INCURRED AS A RESULT OF ORGANIZATION AND AFFILIATE PARTY'S USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE WATCHSPORTS.COM PARTIES ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

ORGANIZATION AND AFFILIATE PARTIES SPECIFICALLY ACKNOWLEDGE THAT WATCHSPORTS.COM SHALL NOT BE LIABLE FOR CONTENT POSTED BY THIRD PARTIES OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH THE ORGANIZATION AND AFFILIATE PARTY.

10. Indemnity

To the extent permitted by applicable law, You agree to defend, indemnify and hold harmless WatchSports.com, its parent corporation Streaming Ultra LLC, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from (i) Your efforts to promote Paid Content and/or (ii) Your violation of any term of this Agreement, the corresponding Affiliate Terms, or any federal, state, or local law or regulation. This defense and indemnification obligation will survive this Agreement.

11. Assignment

This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by You but may be assigned by WatchSports.com without restriction.

12. Jurisdiction, Termination, and Statutes of Limitations

A. You agree that: (i) the Agreement has been negotiated and Services have been performed solely in the State of Utah in the United States of America; and (ii) the Service offered is a passive website that does not give rise to personal jurisdiction over WatchSports.com, either specific or general, in jurisdictions other than in the State of Utah. This Agreement, and the Company Terms shall be governed by the internal substantive laws of the State of Utah, without respect to its conflict of laws principles. Any claim or dispute between you and WatchSports.com that arises in whole or in part from the Agreement, its Service, Terms, or Privacy Policy shall be decided exclusively by a court of competent jurisdiction located in Salt Lake County, Utah.
B. This Agreement, Terms of Service, together with the Privacy Notice and any other legal notices published by WatchSports.com on the Service, shall constitute the entire agreement between You and WatchSports.com. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and WatchSports.com's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
C. Nothing in this Agreement, express or implied, is intended to or shall confer upon any person or entity (other than the parties hereto) any right, benefit or remedy of any nature whatsoever under or by reason of this Agreement.
D. YOU AND WATCHSPORTS.COM AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OTHERWISE SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
